Item 1.01. Entry into a Material Definitive Agreement.
On October 19, 2004, Senesco Technologies, Inc., a Delaware corporation (the Company), issued a press release to report that the Company entered into a license agreement with the Broin Companies, dated as of October 19, 2004, to license the Companys proprietary gene technology to the Broin Companies to improve aspects of Broins ethanol production capabilities. The Company will receive an annual payment for each Broin facility that incorporates the Companys technology. For example, if the Companys technology were adopted in all of Broins plants, then the Company could receive annual payments in excess of $1,000,000. However, there can be no assurance that the Companys technology will be adopted by any Broin facility, and if it is not adopted in any Broin facility, then the Company will not receive any payments hereunder. No other terms of the agreement were disclosed, and the Company intends to seek confidential treatment for all other terms of the license agreement. The redacted license agreement will be filed as an exhibit to the Companys next periodic report. The full text of the press release is attached to this current report on Form 8-K as Exhibit 99.1.

Senesco Licenses Technology to the Broin Companies for Improvement of Ethanol Production
NEW BRUNSWICK, N.J. (Oct. 19, 2004) Senesco Technologies, Inc. (Senesco or the Company) (AMEX: SNT) announced today that it has licensed its proprietary gene technology to the Broin Companies (Broin) to improve aspects of their ethanol production capabilities. If research and development is successful, Senesco expects that its technology will be implemented throughout all of Broins ethanol production facilities.
Though specific financial details will remain confidential, Senesco will receive an annual payment for each Broin facility that incorporates the Companys technology. Adoption of the technology in all of Broins plants could lead to annual payments in excess of $1 Million to Senesco.
